Article 1:  Name
The name of this organization shall be Western Michigan Old Engine Club, Incorporated (a non-profit organization).

Article 2: Purpose
This organization was formed on February 10, 1974, for families interested in restoring and running old gas engines, steam engines, tractors and other old equipment, educating the public in the history of such equipment and its use in early times, and to preserve this equipment for future generations.  The existence of this club shall be perpetual.

Article 3: Membership
Section 1.
Membership shall consist of both spouses and is open to anyone having a general interest in engines or other antique equipment, who are at least 16 years of age.  Prospective members must be recommended by a current member without regards to race, creed, or sex. They shall fill out an application for membership form, which must be approved by the Executive Committee.  Interested dependent children are welcome into club activities.

Section 2.
Charter members were those who paid dues before the end of the third meeting after the club was formed.  They were:

Section 3.
A member whose dues remain unpaid after the January meeting will be dropped from the membership as of January 1st of the following year.   ALSO: Members joining at the annual show or after, prior to January 1st, will be given the balance of the current year plus the next year. This only extends to new members not renewing members.

Article 4.  Meetings and Shows
Section 1.
Regular Meetings will normally be held on the first Sunday of each month.  Time and place will be designated at the prior meeting.  Regular meetings will be held April through December.

Section 2.
The Annual Meeting of the club will be the December meeting and shall be for the purpose of receiving final reports of officers and committees, and for such other business as may properly arise.

Section 3.
Special Meetings may be called by the President, Board of Directors, or majority of the membership.

Section 4.
Official transactions or business of this club requires a majority vote of the members present and voting. In all other instances, Robert’s Rules of Order, latest edition, will govern when not in conflict with these bylaws.

 Section 5.
The Annual Show of the Club shall be held on the first full weekend in August.  A full weekend shall consist of Saturday and Sunday. No child under 16 years of age, shall run or operate equipment without adult supervision.

Section 6.
The annual election of officers will take place at the October meeting.

Article 5.  Officers
Section 1.
All offices are for a one-year term.  Elected officers will be President, Vice-President, Secretary, and Treasurer.  Any office vacancy will be filled by the Executive Committee.  Only members of the club may be elected. Newly elected officers begin their term on January 1 of the next year.

Section 2.
The Board of Directors shall consist of one (1) one year member, one (1) two year member and one (1) three year member, the show chair and the education day chair to be appointed by the elected officers. The Show chair and the Education Day chair shall serve at the discretion of the Elected Officers.

Section 3.
The Executive Committee will consist of the above officers and the Board of Directors.

Section 4.
The President shall conduct the meetings in an orderly fashion and appoint members to committees.

 Section 5.
The Vice-President shall serve in the absence of the President.  

 Section 6.
The Secretary shall take roll call at the beginning of each meeting by signature book, record and keep minutes of all meetings of the club and the executive committee, and will be in charge of correspondence.

 Section 7.
The Treasurer shall be responsible for collecting all dues and be responsible for the purchase and sale of club hats, jackets, etc.  The Treasurer shall receive all money due the club, pay all bills presented and authorized by the club, keep a proper set of books and present a financial report at scheduled meetings.

 Section 8.
A Corporation Resident Agent shall consist of one member, appointed by the Executive Committee.

Section 9.
Emergency decisions can be made by the Executive Committee and reported at the next meeting.

Article 6:   Committees

Section 1.
Committees shall be appointed as required by the Executive Committee.

Article 7: Finance

Section 1.
The Fiscal Year shall be the calendar year.

Section 2.
Membership dues shall be set at the annual meeting for the following year.

Section 3.
All assets become the property of the club.

Section 4.
Any motions for expenditures of one thousand dollars or more shall be tabled and voted upon at the next regular meeting.

Article 8:  Property
Section 1.
The title to all property, funds and assets of the club, shall at all times be vested in the club for the joint use of the members, and no member or group of members shall have any severable right to all or any part of such property. The club shall have complete control over the acquisition, administration, and disposition of its property with consent of the membership except that such property shall not be used for any purposes contrary to those of the club.

Section 2.
All real and personal property of the club will revert to the City of Scottville Riverside Park should the club dissolve.

Article 9:  Amendments
These bylaws may be amended by a majority vote of those members present and voting at any regular meeting of the club, provided notice of the proposed notice of the proposed amendments have been given at the previous meeting or in writing to every member at least two weeks before the meeting at which the amendments is to be acted upon.

These bylaws were revised by the Bylaws Committee May 4, 1989.  They were amended and adopted by the membership on June 4, 1989.
